EMPRESA PERSONA MORAL: Es la persona Moral o Jurídica constituida por una o más personas capaces de ejercitar los derechos y adquirir las obligaciones para realizar actividades que ocasionan plena responsabilidad jurídica.
FIDEICOMISO INMOBILARIO: Es un contrato en el cual el banco tiene el titulo de propiedad del bien Inmueble que se vaya a comprar además que forma parte de los títulos de crédito, el Fideicomiso se celebra en entre tres partes:
FIDEICOMITENTE: Persona Física o Moral que constituye un fideicomiso para destinar ciertos bienes o derechos a la realización de un fin licito y determinado.
FIDUCIARIO: Es la institución de Crédito (Bancos)legalmente autorizada para administrar los bienes de un Fideicomiso.
FIDEICOMISARIO: Es el Beneficiario que recibe el bien derivado del Fideicomiso.
Los FIDEICOMISOS es la opción que tiene un Extranjero para adquirir un Terreno (Enajenación de Bienes) en territorio mexicano por medio del Fideicomiso el Inversionistas Extranjero obtiene un Crédito Hipotecario.
En el caso de Enajenación a extranjeros no puede haber escritura sin Fideicomiso.
De acuerdo al artículo 14 del código Fiscal de la Federación que establece lo que debemos entender por Enajenación de Bienes de acuerdo a las Fracciones V y VI, será aquella que se realiza a través del FIDEICOMISO en los siguientes casos:
- En el acto en el que el fideicomitente designe o se obliga a designar fideicomisario diverso de él y siempre que no tenga derecho a readquirir del fiduciario los bienes.
- En el acto en el que el fideicomitente pierda el derecho a readquirir los bienes del fiduciario, si se hubiere reservado tal derecho.
- En el acto en el que el fideicomisario designado ceda sus derechos o dé instrucciones al fiduciario para que transmita la propiedad de los bienes a un tercero. En estos casos se considerará que el fideicomisario adquiere los bienes en el acto de su designación y que los enajena en el momento de ceder sus derechos o de dar dichas instrucciones.
- En el acto en el que el fideicomitente ceda sus derechos si entre éstos se incluye el de que los bienes se transmitan a su favor
BENEFICIO FISCAL DE UN FIDEICOMISO
Es importante comprender que depende de los términos o etapas en que se encuentre el Fideicomiso para poder verificar los efectos Fiscales del mismo, en específico tratándose del momento de Acumulación de Ingresos respecto a la Ley del Impuesto sobre la renta identificar correctamente esto te permitirá un correcto cumplimiento de las Obligaciones Fiscales del contribuyente.
Es muy importante revisar el estatus de la empresa encargada del FIDEICOMISO, en caso de ser una empresa NUEVA, se obtiene el beneficio de no pagar Impuesto sobre la renta por un año y teniendo una buena planeación puede ser hasta dos años del beneficio.
Tomemos en cuenta que un Fideicomiso puede generar intereses y que estos generan impuesto sobre la renta.
FIDEICOMISO
Se constituye cuando la compra se realiza con fines residenciales. También se utiliza cuando se tienen fines de arrendamiento de la propiedad.
Tiene que ser otorgado ante notario público.
El costo de establecer un fideicomiso inmobiliario es de aproximadamente $ 2,800.00 USD. Los honorarios del notario se agregarán a esta cantidad. Cada notario cobra de manera diferenciada, aproximadamente
$500.00 USD
N/A. El fideicomiso y el traspaso de la propiedad se dan en forma simultánea.
Se puede utilizar un poder para
establecer un fideicomiso inmobiliario.
SOCIEDAD MEXICANA
Se incorpora sólo cuando el comprador tiene fines comerciales de especulación, que incluye, por supuesto, la adquisición de un inmueble.
Tiene que ser otorgado ante notario público mexicano o un corredor público.
El costo de establecer una sociedad mexicana es de aproximadamente $ 1,700.00 USD. Las tarifas del contrato de compraventa se agregarán a esta
cantidad.
Para traspasar las propiedades
inmobiliarias será necesario llevar a cabo un acuerdo notarial (ya sea para contratos de compraventa, contribuciones de capital de las propiedades inmobiliarias, donaciones, subastas públicas, etc.).
Se puede utilizar un poder para
establecer una sociedad.
